15. Data Processing Agreement (Article 28 GDPR)

This section is the data processing agreement between you and Blabla required by Article 28 of Regulation (EU) 2016/679 (GDPR). It forms part of these Terms and applies without a separate signature.

  • Roles: For the personal data that Blabla processes on your behalf through the Service, in particular the comments, messages, mentions and public profile information of the people who interact with the social accounts you connect (“Customer Personal Data”), you are the controller and Blabla is your processor. For the data of your own users (account, billing, support and usage data), Blabla acts as an independent controller, as described in its Privacy Policy. You are responsible for the lawfulness of the processing you instruct, including its legal basis and informing the people concerned.

  • Processing: Blabla processes Customer Personal Data to provide the Service: collecting it through the platforms’ official APIs, storing and organising it, classifying it (including with AI), hiding, deleting or replying to comments and sending messages on your behalf according to your settings, and producing statistics. It concerns the people who interact with your connected accounts, your team members for the content they produce in the Service, and anyone whose data you add to your knowledge base or automations. The data includes platform identifiers, usernames, profile pictures and public profile information, the content of comments, messages and mentions (including media), dates, context and labels generated by the Service. Blabla does not seek to process special categories of data, but freely written messages may contain them. Processing lasts for the term of your subscription.

  • Instructions: Blabla processes Customer Personal Data only on your documented instructions, which are these Terms and the settings you configure in the Service, including with regard to transfers outside the European Economic Area, unless Union or Member State law requires otherwise; in that case, Blabla informs you beforehand, unless that law prohibits it. Blabla informs you immediately if it considers that an instruction infringes data protection law. Blabla does not use Customer Personal Data for its own purposes, does not sell it, does not use it for advertising and does not use it to train AI models.

  • Confidentiality and security: The people authorised to process Customer Personal Data are bound by confidentiality. Blabla implements the technical and organisational measures described in the “Data Security” section of its Privacy Policy, in accordance with Article 32 GDPR.

  • Sub-processors: You give Blabla a general authorisation to engage sub-processors. Their current list and location are published in the Privacy Policy. Blabla informs you by email at least 30 days before adding or replacing one; you may object on reasonable data protection grounds within 15 days and, if no solution is found, terminate the Service without penalty. Blabla imposes the same data protection obligations on its sub-processors by written contract and remains liable for them.

  • Transfers: Customer Personal Data is stored in the European Union. When a sub-processor processes it outside the European Economic Area, the transfer relies on an adequacy decision (including the EU-U.S. Data Privacy Framework) or on the European Commission’s Standard Contractual Clauses.

  • Assistance: Taking into account the nature of the processing, Blabla helps you respond to requests from data subjects and comply with Articles 32 to 36 GDPR (security, breach notification, impact assessments and prior consultation). Blabla forwards to you any request it receives directly from a data subject.

  • Personal data breaches: Blabla notifies you without undue delay, and where feasible within 48 hours, after becoming aware of a breach affecting Customer Personal Data, with the information required by Article 33(3) GDPR.

  • End of the Service: Before the end of your subscription, you may request a copy of Customer Personal Data. Blabla deletes it within 30 days after the end of the Service, unless the law requires it to be kept; copies in backups are deleted as backups are overwritten. Content published on the platforms on your behalf remains subject to their terms.

  • Audits: Blabla makes available to you all information necessary to demonstrate compliance with Article 28 GDPR, including by answering your reasonable security questionnaires, and allows audits by you or by an independent auditor bound by confidentiality, at most once a year with 30 days’ notice (except after a breach or at the request of a supervisory authority), at your expense and without access to other customers’ data.

  • Precedence: In case of conflict between this section and the rest of these Terms regarding Customer Personal Data, this section prevails.
